1. Introduction

Welcome to Connex Global (“we”, “our”, or “us”). These Terms and Conditions govern the services we provide and define our relationship with you (“Client”). By engaging our services, you agree to abide by these terms.

2. Services

We provide a range of digital services including, but not limited to, web development, graphic design, digital marketing, SEO, content creation, and social media management. The specifics of the services will be outlined in a separate Service Agreement or Proposal.

3. Client Responsibilities

  • Timely Feedback: The Client agrees to provide all required assets (logos, images, content) and respond promptly to requests for feedback to avoid delays.
  • Accurate Information: The Client is responsible for ensuring that any information provided to us is accurate and up to date.
  • Compliance: The Client must ensure that their use of our services complies with all applicable laws and regulations.

4. Payment Terms

  • Fees: Fees for our services will be outlined in the proposal or invoice.
  • Payment Schedule: The Client agrees to the payment schedule outlined in the proposal, which may include upfront payments, milestone payments, or recurring fees.
  • Late Payments: Any late payments will incur an additional fee of 10%.
  • Refund Policy: Payments are non-refundable unless otherwise specified in the contract.

5. Confidentiality

Both parties agree to keep confidential any information shared during the course of the project that is marked as confidential or is by its nature confidential. This obligation will remain even after the termination of the contract.

6. Intellectual Property

  • Client Ownership: The Client retains ownership of any pre-existing intellectual property provided to us for the project.
  • Agency Ownership: We retain the rights to any proprietary processes, tools, and frameworks used in the project unless otherwise agreed upon.
  • Transfer of Ownership: Upon full payment, we will transfer the ownership of the completed work to the Client, unless specified otherwise in the Service Agreement.

7. Revisions and Approvals

  • Revisions: Our proposal includes needed rounds of revisions. Additional revisions will be billed at our hourly rate.
  • Approvals: The Client must approve any final deliverables. Once approved, any further changes will incur additional charges.

8. Termination

  • Client-Initiated Termination: The Client may terminate the contract at any time by providing 7 days’ notice. The Client will be liable for any work completed and not yet paid for up to the date of termination.
  • Agency-Initiated Termination: We reserve the right to terminate the agreement if the Client breaches any of the terms, or if we determine that the Client’s project is not feasible.
  • Effect of Termination: Upon termination, all rights to any work completed by us will remain with the agency until full payment has been made.

9. Liability

  • Limited Liability: Our liability for any claim arising out of this agreement will be limited to the total amount paid by the Client for the services provided.
  • No Guarantee: While we strive to provide excellent services, we do not guarantee specific results such as website traffic, search engine ranking, or sales improvements unless otherwise specified in a separate Performance Agreement.

10. Indemnity

The Client agrees to indemnify and hold Connex Global harmless from any claims, losses, or damages that may arise from the use of our services, including but not limited to intellectual property disputes or data breaches.

11. Amendments

We reserve the right to amend these terms and conditions at any time. Any changes will be communicated to the Client via email or published on our website. Continued use of our services after changes have been made will constitute acceptance of the revised terms.

12. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising out of this agreement will be resolved through the courts of Pakistan.
